Terms of use	Aiiyah Terms of Use Last Modified 14 August 2009 Aiiyah.com, a business of LED Live Limited including its successors and assigns, ("Aiiyah") operates the Aiiyah Internet web sites (including, without limitation, www.aiiyah.com) and certain co-branded versions of its site under contract with other third parties (collectively, the "Site"). Content Submission By contributing or submitting any content to the Site, you warrant that you are the author and owner of the intellectual property rights thereto or have the appropriate license and sublicense rights from the owner, and you grant Aiiyah a worldwide, perpetual, irrevocable, royalty-free, transferable right and license to use, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from and/or sell and/or distribute such materials and/or incorporate such materials into any form, medium or technology, and you also grant the right to Aiiyah to sublicense any and all of the foregoing rights to third parties, in all cases without compensation to you. Merchant and Product Reviews You may submit a merchant and/or product review through the Ratings System on the Site to describe your experiences with merchants and/or products. You may submit a merchant and product reviews only in good faith and about a product you have actually purchased, or about a merchant from whom you have actually purchased or attempted to purchase products or services, limited to where you have (i) completed the ordering process, (ii) exchanged payment data, (iii) received an invoice number, and/or (iv) used his/her services for a professional reason, informational reason or any other way or reason of usage. You acknowledge and agree that all the information submitted by you together with your contact details (whether by email, telephone, mobile phone, or any other means of communication that is available) will be made available by Aiiyah to the applicable merchant in conjunction with your review, and accordingly, the merchant may be able to contact you regarding your review or otherwise. You may only describe your experience with the merchant or product for which you are writing a merchant review. You should not review any merchant or product on situations that are not controlled by the merchant or product you are reviewing. You may submit no more than one review of a particular merchant or product in any thirty (30) day period. Any review that you submit is subject to the conditions and restrictions described in the CONTENT SUBMISSION section, above. You acknowledge and agree that Aiiyah may, in its sole discretion, post only the first ten (10) reviews it receives from users (which may not include your review) that are related, on a case by case basis and in whole or in part, to a product or service listing error by a merchant, such as, but not limited to, an error in the price of a product(s) or a service, the number of units of a product(s) available for a certain price, the shipping rates for product(s), or inventory levels. Upon becoming aware of the same, Aiiyah will omit any merchant review that it determines on the face of the review (only) violates any requirements in this Terms of Use or the Aiiyah Member Agreement. Aiiyah will not itself edit or modify the contents of a merchant review, although Aiiyah reserves the right to edit, modify, remove, change, or amend in any way the content of all reviews at its sole discretion. By providing a review, you acknowledge and agree that you may be contacted by Aiiyah and/or the applicable merchant to which/whom the review relates. You acknowledge and agree that your review may not be displayed if its content violates, infringes any right, or does not match the associated information in Aiiyah's records. A merchant may dispute the validity of a review identified by you and may submit a complaint to Aiiyah. This may result in Aiiyah opening a user review inquiry. During the user review inquiry, Aiiyah may, in its sole discretion, remove the contested review, and/or require additional data or proof from the user to determine whether the review should remain or be reinstated on the Site. Failure of the user to participate in the user review inquiry will result in the removal of the contested review from the Site. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; 2. Identification of the copyrighted work claimed to have been infringed, or if multiple copyrighted works at a single web site are covered by a single notification, a representative list of such works at that web site; 3. Identification of the material (i.e., the Third Party Content) that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit Aiiyah to locate the material; 4. Information reasonably sufficient to permit Aiiyah to contact the complaining party, such as an address, telephone number, and if available, an electronic mail address at which the complaining party may be contacted; 5. Upon receipt of the written notification containing the information as outlined in 1 through 6 above: Aiiyah shall remove or disable access to the Third Party Content that is alleged to be infringing; Aiiyah shall forward the written notification to the alleged infringer (the "Subscriber"); Aiiyah shall take reasonable steps to promptly notify the Subscriber that it has removed or disabled access to the Third Party Content. Counter Notification To be effective, a Counter Notification must be a written communication provided to Aiiyah's Designated Agent that includes substantially the following: 1. A physical or electronic signature of the Subscriber; 2. Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled; 3. A statement, as follows: "I swear under penalty of perjury that it is my good faith belief that the material identified above was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled"; and 4. The Subscriber's name, address, and telephone number, and a statement that the Subscriber consents to the jurisdiction of Federal District Court for the judicial district in which the Subscriber's address is located, or if the Subscriber's address is outside of the Hong Kong Special Administrative Region, for any judicial district in which Aiiyah may be found, and that the Subscriber will accept service of process from the person who provided notification or an agent of such person. Upon receipt of a Counter Notification containing the information as outlined in 1 through 4 above, the HKCO provides that the removed material will be restored or access re-enabled and Aiiyah will comply with this requirement within a reasonable time (or as otherwise required by law), provided Aiiyah's Designated Agent has not received notice from the original complaining party that an action has been filed seeking a court order to restrain Subscriber from engaging in infringing activity relating to the material on Aiiyah's network or system. General If any provision of these Terms of Use and Privacy Statement or the Aiiyah Member Agreement is held to be invalid, void or unenforceable for any reason, such provision shall be struck and the remaining provisions shall remain enforceable. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches.
